- References to a "major development" above mean an update to non-sector-specific legislation/regulation or precedent-setting case law which, in the opinion of Brightmine, has direct applicability to HR and which either:
- significantly expands or redefines employee rights;
- imposes new legal obligations or liabilities on employers;
- alters the regulatory or enforcement landscape;
- has a material impact on the majority of organisations in most sectors; or
- requires organisations to update policies, systems, and training.
- References to working days are to working days in London.
- "Key resources" means any of the Policies, letters and contracts, Forms and templates, Training guides, Employment law guides, Leading practice guides, How to guides, or FAQs available within the Brightmine HR & Compliance Center product.
The fine print
The Brightmine Service Guarantee
- The following commitments for Legal Updates, Expert Guidance, and Final Resources, together with the phrases and terms defined above, are the Brightmine Service Guarantee (the Guarantee):
- Within one working day of a major development, Brightmine will update any of Legal timetable, News, or Commentary and insights with a reference to the major development.
- Within 48 working hours (two working days) of a major development, Brightmine will update the Future developments section of an Employment law guide with a reference to the major development.
- Within five working days of the implementation date or effective date (whichever applies) of a relevant legislative element, Brightmine will update key resources to reflect the change.
- If Brightmine fails to meet the Guarantee timelines set out above twice within the 12-month period comprising Customer's subscription, Customer may terminate the affected product by providing notice in writing to Brightmine stating an intention to terminate the agreement for the affected product and attaching (a) screenshot(s) of the relevant sections of the Brightmine product which contain outdated information and (b) sufficient information on the relevant major development or legislative implementation date (as applicable) to enable Brightmine to verify the issue raised. Brightmine will endeavour to respond to Customer within three (3) weeks to confirm that the update timeline was not met, or alternatively to explain how the Guarantee was met.
- If, acting reasonably, Brightmine accepts the Guarantee was not met, Customer's agreement with Brightmine for the affected product will be terminated with effect from the date of Customer's notice, and Brightmine will provide to Customer a pro rata refund for the balance of the term for the affected product.
- The Brightmine Service Guarantee is a commitment to update at least one of the resources identified in relation to that guarantee, not all.
- Customer must exercise its right to terminate by serving notice within two (2) weeks of the relevant Brightmine Service Guarantee update deadline. The right to terminate lapses after the two-week period if not exercised.
- Failure to meet the Guarantee does not constitute a breach of the agreement and Customer's sole and exclusive remedy for failure to meet the Guarantee is the rights set out above. The Brightmine Service Guarantee applies only to the affected product and not to other products which Customer may receive from Brightmine or its affiliates.
- The Brightmine Service Guarantee does not apply where operationally significant information is required from legislators or other relevant authority or source in order to remove uncertainty over policy detail, scope, thresholds, and processes. Examples include secondary legislation such as regulations and statutory instruments, codes of practice or official guidance, or formal consultation outcomes.
